This public offer sets out the general terms on which Say Digital Marketing ("SDM", "we") provides advertising and marketing services. It is a framework only — the exact scope, deliverables, timeline and fee for your project are agreed individually in a written proposal or invoice, which together with this offer forms our agreement.

Our services

SDM plans and manages paid-advertising and related services — including Google, Meta, TikTok and Telegram advertising, analytics and tracking, landing pages, chatbots and conversion optimization — performed by senior specialists.

Placing an order & acceptance

After we discuss your goals we send a proposal describing the scope and monthly fee. The agreement takes effect when you accept that proposal (in writing or by paying the first invoice). Accepting means you agree to this offer and the proposal together.

Fees & payment

We charge a flat monthly fee for management — never a percentage of your ad spend. The fee for your plan is stated in your proposal or on our pricing information and is billed monthly in advance. Advertising budgets are paid by you directly to the advertising platforms (Google, Meta, etc.) and are separate from our fee.

What we deliver

We deliver the services agreed in your proposal — campaign setup and management, reporting, and the specific deliverables listed. We report on performance transparently. We do not guarantee specific results; advertising outcomes depend on budget, market, product and factors outside our control.

Your responsibilities

To do our work you agree to give us timely access to the necessary advertising and analytics accounts, accurate information about your business, and to fund your advertising budgets directly with the platforms. You remain the owner of your ad accounts and data.

Confidentiality

Each side keeps the other's non-public information confidential and uses it only to perform the services. We may reference our work in anonymized or, with your permission, named case studies.

Term & termination

Engagements are month-to-month with no lock-in. Either side may end the arrangement with reasonable notice before the next billing cycle. On termination we hand over access and any deliverables paid for; your accounts and data stay yours.

Liability

To the fullest extent permitted by law, our total liability in connection with the services is limited to the fees you paid for the period concerned. We are not liable for indirect or consequential losses.

Governing law

This offer is governed by the laws of Ukraine, without prejudice to mandatory rights you may have in your country of residence.
